Inside the Stripe-Advent Bid for PayPal

A $53 billion cash offer, zero official confirmation, and a financing trick that lets Stripe stay private. Here's what's actually going on.

Stripe and Advent extending a cash offer to PayPal

The offer

A $53 billion bid, entirely off the record

Stripe and Advent extending a cash offer to PayPal

On July 15, 2026, Reuters reported that Stripe and private equity firm Advent International jointly offered to buy PayPal for $60.50 per share in cash, valuing the company at roughly $53.4 billion. That landed at about a 28% premium over PayPal's July 14 close of $47.37. The New York Times confirmed the core terms the same day through its own sources.

premium=60.50−47.3747.37≈28%\text{premium} = \frac{60.50 - 47.37}{47.37} \approx 28\%
The offer versus PayPal's July 14 closing price

One caveat runs through everything below: every detail traces to anonymous people "familiar with the matter." PayPal, Stripe, and Advent have all declined to comment or not responded, and no SEC filing or press release exists. Treat the numbers as well-sourced reporting, not confirmed fact.

The price got the headlines. How the consortium plans to pay for it is where the deal gets structurally unusual.

The financing

Who actually carries the debt

The bid rests on about $50 billion in committed bank financing plus $17 billion in equity that Stripe and Advent would put in jointly, splitting ownership 50/50. JPMorgan and Morgan Stanley arranged the ~$50B package, per the July 16 Reuters follow-up.

How the ~$53.4B is put together

Two structural details stand out. JPMorgan and Morgan Stanley are both financing the deal and advising the buyers. And the ~$50B in debt would sit on PayPal's balance sheet, not Stripe's.

For Stripe, valued at $159 billion privately and long reluctant to go public, that matters. It gains PayPal's consumer scale without loading its own books with debt or triggering the disclosure an IPO forces. The Collison brothers keep Stripe private and still get the reach.

The logic

Big enough to make regulators nervous

Combined Stripe merchant rails and PayPal consumer wallet

Stripe processes roughly $1.9 trillion a year, almost all of it merchant-side. PayPal brings the other half of the network: about 440 million active accounts, the Venmo wallet, and around $1.8 trillion in volume during 2025. Reuters puts the merged company at ~$3.7 trillion in annual volume.

A company that large invites antitrust scrutiny, and the consortium has planned for it. Sources say that if regulators push back, they would carve out PayPal's Braintree unit and hand it to Advent, which already holds stakes in Worldpay, Vantiv, and Nuvei. Otherwise the proposal keeps PayPal intact rather than breaking it apart.

The response

PayPal isn't sold yet

PayPal in the middle of a turnaround with a declining market cap chart

PayPal's board hasn't formally responded, but its early read, per a July 16 Reuters follow-up, is that $60.50 undersells the turnaround. The board is weighing financing certainty, regulatory risk, and timeline alongside price. Sources still call the consortium the most serious bidder and say it remains interested.

  1. Early April 2026 (Consortium approaches PayPal, Block included)
  2. Before July (Block exits; Stripe + Advent proceed alone)
  3. July 2026 (Formal joint offer submitted)
  4. July 15 (Reuters breaks the story; stock jumps ~15-20%)
  5. July 16 (Board's early view: bid is inadequate)

Context explains the caution. PayPal's market cap peaked near $360 billion in 2021 and fell to as low as ~$36 billion in 2026. CEO Enrique Lores, who took over in March 2026, is midway through a restructuring that cuts about 20% of staff (~4,760 roles) for at least $1.5 billion in savings. Q2 earnings land July 28, the next real test of whether the core checkout business is stabilizing.

Why it matters

A private giant reaching for public scale

Why it matters

For engineers this changes nothing today, and it may not happen at all. But if it closes, it merges the two payment platforms most internet merchants already build on into a single ~$3.7 trillion network, narrowing the options behind millions of checkout flows. It also shows Stripe trying to buy consumer reach while staying private, using PayPal's own balance sheet to carry the debt.

The short version

  • Stripe and Advent offered **$60.50/share cash, ~$53.4B**, a ~28% premium, all reported by Reuters via anonymous sources with **no official confirmation** from any party.
  • The deal leans on **~$50B bank debt plus $17B equity**, and the debt would sit on **PayPal**, letting Stripe gain scale without an IPO.
  • A merged Stripe-PayPal would process **~$3.7T a year**, so the buyers pre-planned an antitrust remedy: hand **Braintree** to Advent.
  • PayPal's board sees **$60.50 as inadequate** and is weighing financing certainty, regulatory risk, and timeline; **Q2 earnings hit July 28**.
